HKEX Mandatory Requirements

Rule 3.09F — All directors must receive continuous professional development (CPD) in each financial year. The listed issuer is responsible for arranging and funding appropriate training.

Rule 3.09G — CPD must cover at least these 5 topics: (1) Board roles & effectiveness; (2) Issuer obligations & directors' duties under HK law and Listing Rules; (3) Corporate governance and ESG; (4) Risk management & internal controls; (5) Industry-specific developments and business trends.

Rule 3.29 — Company Secretaries (including Joint Company Secretaries) must complete no less than 15 hours of relevant professional training each financial year.

First-time Directors — Normally 24 training hours within 18 months of appointment. The 12-hour category applies to qualifying listed-issuer directorship experience on another exchange within the preceding three years; it is not a general prior-experience exemption.
HKEX FAQ: "The Exchange does not specify the format of director training." Different types of training may be counted as CPD, provided that the topics fall within the scope of Rule 3.09G. The issuer discloses training details (hours, format, topics, provider) in the annual report.

CPD hours note: Foundation Plan 17h / Advanced Plan 20h are stated on the Certificate of Attendance. The Listing Rules prescribe no approved training provider — HKEX does not accredit courses; the issuer's board judges whether training is appropriate and discloses directors' training records (hours, format, topics, provider) in the Corporate Governance Report of the annual report.

Frequently Asked Questions
Does HKEX require training from approved providers only?
HKEX permits different training formats and providers. The listed issuer must assess suitability, relevance and sufficiency and retain the records needed for disclosure. This course is not advertised as HKEX-approved. See the official director-training guidance linked above.
What does the Certificate of Attendance include?
The certificate states the participant's name, training topics covered (mapped to the 5 mandatory areas in Rule 3.09G), total training hours, date of completion, format (video/in-person), and provider name (Easy Solution HK Limited, BR 68468987). This information can be used directly for annual report disclosure.
Is the 17-hour Foundation Plan enough for HKEX compliance?
No course automatically establishes compliance. The issuer must assess training relevance and sufficiency. A first-time director subject to 24 hours needs additional training beyond either plan: the 17-hour plan leaves 7 hours and the 20-hour plan leaves 4 hours. The narrower 12-hour category requires qualifying listed-issuer directorship experience on another exchange within the preceding three years; ordinary prior experience does not reduce 24 hours.
Can Company Secretaries use this training for Rule 3.29 compliance?
Rule 3.29 requires at least 15 hours of relevant professional training each financial year. Our plans provide 17 or 20 training hours, but the issuer and attendee must assess which hours are relevant to the company-secretarial role; the duration alone does not guarantee compliance.
Can SFC-licensed individuals claim CPT hours for this course?
Potentially, subject to the employer’s CPT assessment. The attendee’s regulated activities, topic relevance, actual participation and supporting evidence determine accepted hours. Online self-study requires independent assessment and sufficient training records. Ask your compliance officer to review the syllabus and evidence requirements before enrolment; this course is not advertised as SFC-approved.
Which topics count as directly relevant CPT hours for licensed persons?
The compliance-relevant segment of the curriculum: B1–B5 (re-domiciliation regime, beneficial ownership compliance, regulatory updates and enforcement cases, A+H continuing obligations, capital reduction), B6 (deregistration/liquidation), D1 (risk management and internal controls) and E1–E2 for the Advanced Plan (compliance calendar, directors' securities dealings, share buyback, Chapter 17 schemes). Relevance varies by the attendee’s regulated activities; no fixed number of directly relevant CPT hours is guaranteed.
What language is the training delivered in?
Mandarin (video format). In-person sessions at Star House TST can be arranged in Cantonese or English upon request. Contact us for custom arrangements.
Can we train multiple directors from the same company?
